These General Terms and Conditions apply to all services provided by Shift Advisory B.V., registered in the Netherlands.
For specific assignments, a separate agreement or statement of work may apply. In case of any conflict, the specific agreement prevails.
1. Services and Positioning
Shift Advisory provides strategic, technical, and organizational services, including:
- System and software architecture
- Technical implementation of solutions
- AI and workflow transformation
- Team enablement and adoption support
- Temporary transformation and optimization programs
All services are provided as an independent external specialist. No employment relationship or hierarchical control exists between Shift Advisory and its clients.
2. Use of Technology and AI
Shift Advisory may use modern technologies in the delivery of services, including generative AI and machine learning systems.
This is done:
- in compliance with applicable laws and regulations, including GDPR
- under the responsibility of Shift Advisory as the executing party
By engaging Shift Advisory, the client acknowledges and accepts the use of such technologies as part of service delivery.
3. Intellectual Property
- Deliverables specifically created for the client transfer to the client upon full payment, unless otherwise agreed.
- Shift Advisory retains ownership of all general knowledge, methodologies, frameworks, and reusable components developed or used in the course of its work.
- These elements may be reused in other projects or contexts.
4. Confidentiality
- Both parties agree to maintain confidentiality regarding all non-public and sensitive information shared during the engagement.
- This obligation remains in effect after the termination of any engagement.
5. Liability
- Shift Advisory is only liable for direct damages resulting from attributable failure in the performance of its services.
- Liability for indirect damages, including but not limited to consequential loss, loss of profit, business interruption, or reputational damage, is excluded.
- Liability is limited to the value of the specific assignment or, where applicable, the amount covered by professional liability insurance.
- Shift Advisory is not liable in cases of force majeure, including system failures, third-party service outages, or other circumstances beyond its reasonable control.
6. Governing Law
All legal relationships with Shift Advisory are governed exclusively by Dutch law. Any disputes shall be submitted to the competent court in the Netherlands.
